WESTERN MISSOURI SHOOTERS ALLIANCE BY LAWS

ARTICLE I
NAME

The name of this corporation is THE WESTERN MISSOURI SHOOTERS ALLIANCE.

ARTICLE II
DURATION

The duration of the corporation shall be perpetual.

ARTICLE III
PURPOSE

The purpose and objective of the Western Missouri Shooters Alliance is to preserve and protect the 2nd Amendment of the Constitution of the United States by;
A.Monitoring and acting on pending legislation at the local, state, and federal level;
B.Encouraging voter registration and participation in the political process, and;
C.Promoting public safety, law and order, and the defense of the nation. 

ARTICLE I V
POWER TO ACQUIRE PROPERTY

The corporation may acquire, in any legal manner, by purchase, gift, devise, bequest, or otherwise, any and all kinds of property which the Board of Directors may, by resolution, accept.

ARTICLE V
BOARD OF DIRECTORS

The affairs and property of the corporation shall be controlled and directed by a board of nine (9) directors who shall be elected at large and shall be members of this corporation.

A.Manner of Election:
The present members to serve until expiration of their present terms. Thereafter, as said terms expire the general membership at the September membership meeting shall vote by secret ballot to elect by a majority vote three (3) directors to serve for three (3) years.
B.Vacancy:
Any vacancy on the board shall be filled by appointment by the president. Said appointee shall serve until the next regular membership meeting at which time the general membership shall elect him or her to fill the balance of the unexpired term.
C.Meetings:
Board meetings shall be held monthly at the place and time suitable to the board members. Special board meetings may be called by order of the President or Vice-President, with proper notice.
D.Expulsion:
Anh board member can be expelled for failure to perform his or her duties by a two thirds (2/3) vote of the entire board or by a majority vote if the entire board is not present. Said action may be taken at any regular or special meeting of the Board.

E.Appeal:
Any member so expelled may appeal to the general membership at the next general meeting and upon receiving a majority note shall be reinstated. F. Ex-officios:
The President may appoint Ex-Officio members of the Board of Directors to head up special projects, replace departing officers when no other member of the Board of Directors can take on the departing officer's duties, and for such other reasons as s/he deems fit.
l.Ex-Officio board members shall be confirmed by majority vote of the Board of Directors at the next regularly scheduled Board of Director's meeting.
2.Ex-Officio directors may participate in debate on an equal asis with other directors, but shall ot be voting members unless replacing current board positions.
3.All WMSA chapter presidents shall be Ex-Officio members.

ARTICLE VI
OFFICERS

At the October Board of Directors meeting, the directors shall elect from among themselves the following officers: President, Vice-President, Secretary, Treasurer, and Press Officer. Each of whom shall serve for one year starting January first.
A.Duties of the President:
l.The President shall preside at all Alliance, board, and general membership meetings. 
2. Shall appoint all committees with approval by a simple majority of the board, and shall be a member ex-officio thereof.
B.Duties of the Vice-President:
1.The Vice-President shall preside in the absence of the President or at his or her request at all meetings;
2. Shall function as program director for the Alliance.
C.Duties of the Secretary:
l.The Secretary shall record the minutes of the board meetings and regular membership meetings.
2. Shall be in charge of membership records and renewals.
D.Duties of the Treasurer:
l. The Treasurer shall promptly pay all bills and maintain current accounts receivable and accounts payable ledgers;
2. Shall also have custody of any certificates of deposit or savings accounts. 
3. Shall furnish monthly financial reports to the board and the general membership. 
E.Duties of the Press Officer:
l. Foster and positively shape media awareness of WMSA's existence and activities.
2.Prepare and mail press releases pertaining to newsworthy organizational actions when it suits our agenda. 
3.Develop and maintain contacts within the ranks of local mainstream media.
4.Use whatever publicity means are available to promote awareness of our mission.

ARTICLE VII
MEMBERSHIP


The following memberships are available to all American citizens of good repute in the following categories. The dues structure of each category shall be set annually by the Board of Directors.
A.Regular Annual membership: Open to individuals sixteen (l6) years of age and older.
B.Associate Annual membership: Available only to the spouse of a Regular member. 
C.Junior Annual membership: Open to individuals under the age of sixteen (l6). No voting privileges.
D.Senior membership: Available to individuals sixty five (65) years of age and older.
E.Individual Subscriber: No voting privileges.
F.Subscriber Group: Five (5) BULLETS. No voting privileges.
G.Charter membership: Available to all Regular members joining before January l, l990.
H.Corporate/Club Sponsorship: Open to any company or club. Five (5) BULLETS. No voting privileges.

ARTICLE VIII
AMENDMENTS 

The board of directors may adopt, repeal, or amend the by-laws provided such actions are not inconsistent with the Articles of Incorporation as amended. Requires two thirds (2/3) majority.

ARTICLE IX
SUSPENSION OF MEMBERS

A.Individuals. Individuals shall be suspended on non-payment of annual dues. An individual shall be expelled for causes detrimental to the Alliance, upon majority vote of the Board of Directors.
B.Reinstatement. Any individual member may be reinstate after being suspended upon payment of current dues. Any individual member that has been expelled for cause may be reinstated by a majority vote of the Board of Directors.

ARTICLE X
EXPULSION OF MEMBERS


Any individual member can be expelled for good cause shown by two thirds (2/3) majority vote of the Board of Directors.

ARTICLE XI
DISSOLUTION

Dissolution shall be accomplished in accordance with the laws of the State of Missouri. All assets after the payment or disposition of all obligations shall be transferred or assigned by direction of a two thirds (2/3) majority of the Board of Directors.

ARTICLE XII
CHAPTERS

A.It is the intention and purpose of WMSA, its members and Board of Directors to encourage the growth of independent, grass roots, gun owners, activist organizations. It is the intention of this article to found chapters which will grow into independent organizations without diluting the purpose and effectiveness of the parent organization.
B.Any group of ten (l0) persons, not including group or corporate entities, may petition to form a chapter of WMSA. Such petition shall state: The following individuals request to be chartered as a chapter of the Western Missouri Shooters Alliance. The petitioning individuals shall place their name, address, and phone number on the petition together with a designated president, vice-president, secretary and treasurer for the prospective chapter. The same person may fill multiple offices in the chapter.
C.The Kansas City metropolitan area shall be Chapter I of WMSA and administered by the Board of Directors of WMSA. No chapter shall be chartered within a thirty five (35) mile radius of the Trails West Library, ll40l E. 23rd Street, Independence, Missouri (intersection of Englewood Road and E 23d St) without an approving vote of three fourths (3/4) of the Board of Directors of WMSA.. Such a vote must take place at a Board of Directors meeting when notice of this vote has been deposited in the U.S. mail or electronic bulletin board system at least ten (l0) days in advance of the meeting. This notice may be waived if all members of the Board of Directors agree to do so in writing. 
D.Membership in a given chapter will not depend on where the member lives.
E.Members in any chapter shall receive all the benefits of membership. 
F.Dues: Each chapter shall collect dues for each member of the chapter as set by the Board of Directors of WMSA and forward an amount set by the Board of Directors of WMSA to the treasurer of WMSA.
G.Each chapter may engage in local political action to advance the cause of gun owners rights. No chapter shall endorse a candidate for statewide office without first obtaining approval of the Board of Directors of WMSA. No chapter shall endorse or oppose a statewide proposition, issue, or vote without first obtaining approval of the Board of Directors of WMSA.
H.Any chapter may become an independent organization by a vote of two thirds (2/3) of its membership at a regular meeting or a meeting held for that purpose after the membership of the chapter and the Board of Directors of WMSA have been notified by mailing notice thirty (30) days in advance of the vote. Upon such a vote, the officers of the chapter shall notify the Board of Directors of WMSA of the vote and the Board shall then rescind their charter.
I.The Board of Directors of WMSA may rescind the charter of any chapter which fails to comply with these by-laws as amended from time to time, or which acts contrary to the purpose of WMSA, or which concentrates on activities not directly related to the purpose of WMSA, or for such other reason which the Board deems sufficient. A charter shall be rescinded on a vote of two-thirds (2/3) of the Board of Directors of WMSA. Notice shall be given by the President or Vice-President of WMSA for a special meeting, or by any director for a regular meeting.
